Terms of Service

1. Definitions
- "Service" means the Shipmarket websites, applications, APIs, and related features offered by us from time to time.
- "we", "us", "our" means the operator of Shipmarket (see the Privacy Policy for controller contact details).
- "you", "your" means the individual or entity registering for or using the Service.
- "Content" means text, images, strategy outputs, posts, and other materials you submit, generate, or schedule through the Service.
2. Acceptance of Terms
By accessing or using the Service, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.
3. Description of Service
Shipmarket is an AI-powered marketing automation tool that helps technical founders generate marketing strategies and schedule posts to third-party social platforms including LinkedIn, Reddit, Dev.to, Instagram, and Facebook (where enabled in the product).
4. Third-Party Platform Integrations
Shipmarket integrates with third-party platforms (LinkedIn, Reddit, Dev.to, Instagram, and Facebook). These platforms may change their APIs, terms of service, or access policies at any time and without notice. Shipmarket will adapt as quickly as possible to such changes, but temporary service interruptions on specific channels may occur.
You will be notified by email if a connected channel experiences an outage or extended disruption. Your queued posts are preserved and will publish automatically once the channel is restored. Shipmarket is not liable for any losses arising from third-party platform changes or unavailability.
We recommend connecting at least two channels so that your marketing continues even if one platform is temporarily unavailable.
5. User Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.
6. Acceptable Use
You agree not to use Shipmarket to post content that is unlawful, harmful, defamatory, fraudulent, or spam, or that violates the terms of any connected third-party platform. In addition, you must not:
- share your account credentials with others or use the Service on behalf of a third party without their authorization;
- use the Service to create or publish content that impersonates any person or entity, or misrepresents your identity on connected platforms;
- attempt to reverse-engineer, scrape, or extract data from the Service by automated means beyond normal use;
- use the Service in any manner that violates applicable law, including data protection, anti-spam, or intellectual property law.
Shipmarket reserves the right to suspend or terminate accounts that violate these policies.
7. Subscription and Billing
Our order process is conducted by our online reseller Paddle.com. Paddle is the Merchant of Record for all our orders. Paddle handles payment processing, subscription management, invoicing, and applicable tax collection. By purchasing a paid plan, you agree to Paddle's Buyer Terms in addition to these Terms.
You may cancel your subscription at any time and retain access through the end of your current billing period. Refunds for partial billing periods are not issued, except where required by applicable law.
EU/EEA consumers: if you are a consumer resident in the EU or EEA, you have a statutory right of withdrawal within 14 days of your first subscription purchase. By choosing to access the Service immediately after purchase, you acknowledge that you are requesting immediate performance and consent to waiving your right of withdrawal to the extent the Service has already been provided, as permitted by applicable law. Paddle, as Merchant of Record, administers these statutory rights on our behalf.
8. Intellectual Property and AI Outputs
You retain ownership of all Content you create or upload. By connecting your accounts and scheduling posts, you grant Shipmarket a limited license to publish Content on your behalf to the connected platforms you have authorized.
AI-generated strategy outputs and content drafts are provided as creative assistance tools. We make no warranty regarding their originality, copyright status, or fitness for a particular purpose. Similar outputs may be generated for other users based on similar inputs. You are responsible for reviewing AI-generated Content before publishing and for ensuring it complies with applicable law and the policies of any platform you publish to.
9. Indemnification
You agree to indemnify, defend, and hold harmless Shipmarket and its operators, employees, and contractors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your Content; (c) your violation of these Terms; or (d) your violation of any third-party platform's terms of service or applicable law.
10. Disclaimer of Warranties
The Service is provided "as is" without warranty of any kind. Shipmarket does not guarantee that the Service will be uninterrupted, error-free, or that any specific marketing outcome will be achieved.
11. Limitation of Liability
To the fullest extent permitted by law, Shipmarket shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service, including but not limited to loss of revenue or missed publishing opportunities.
12. Termination
You may close your account at any time from your account settings or by contacting us. We may suspend or terminate your access to the Service for material breach of these Terms, non-payment, or if required by law. Where reasonably practicable, we will give you advance notice before termination.
Upon termination or account closure, you may request an export of your Content within 30 days. After that period, we may permanently delete your account data, subject to retention obligations described in our Privacy Policy.
13. Changes to Terms
We may update these Terms from time to time. For existing subscribers, material changes will take effect 30 days after we notify you by email or through the Service. If you do not accept the updated Terms, you may cancel your subscription before the changes take effect. Continued use of the Service after that date constitutes acceptance of the updated Terms.
14. Governing Law and Disputes
These Terms are governed by the laws of the State of Israel, without regard to its conflict of law rules. Subject to mandatory rights you may have in your country of residence, you agree that the courts located in Tel Aviv-Yafo, Israel shall have exclusive jurisdiction over any dispute arising out of or relating to the Service or these Terms, except where applicable law requires otherwise.
